**Job description**

As part of a global legal team, the Legal Counsel, based in the US and reporting to the Head of Commercial Legal, will be responsible for providing broad commercial legal support to a leading provider of drug, device, company, clinical trial and market intelligence in the pharmaceutical and medtech markets. This position requires adaptability to proactively address a diverse set of legal challenges and develop practical solutions in a fast-paced environment focused on building scalable processes.

**Responsibilities**

+ Review, draft, and negotiate a wide range of agreements with customers, vendors, partners, agents, distributors, resellers and other third parties, including data licenses, SaaS agreements, consulting and professional services agreements, master services agreements, marketing and advertising agreements, procurement contracts and other complex commercial agreements.

+ Support the US and international business in achieving its aims by counseling on contract strategy, risk assessment, and commercial deal structures by delivering concise and pragmatic feedback to applicable stakeholders.

+ Maintain and update various agreement templates and playbooks to align with changing business policies, legal risks and regulatory and compliance requirements.

+ Review RFPs for customers (including government entities), identify legal issues and help prepare proposals (including licensing agreements).

+ Research and respond to general legal inquiries from in-house clients.

+ Participate in compliance initiatives through training and communications.

+ Participate in local and cross-regional team projects.

+ Contribute to a culture of continuous improvement, identifying areas for development.

**Requirements**

+ 3-5 years experience, preferably some time in-house supporting a high-growth business

+ Strong background in commercial law, drafting and negotiating national and international agreements

+ Self-starter able to work independently, exercise good judgment and manage competing priorities

+ Excellent research and analysis skills. Able to analyze and present complex information clearly and concisely to various stakeholders

+ Experience working with Real World Data is an advantage

+ Data licensing, Technology and SaaS experience preferred

+ Healthcare or biopharma industry experience preferred

+ Legal and business-friendly judgment, skilled in building consensus across cross-functional stakeholders. Customer centricity and relationship-minded approach a must.

+ Excellent time management, organizational skills, and focused on execution.

_The expected base salary for this position ranges from $120,000 to $150,000. It is not typical for offers to be made at or near the top of the range. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. In addition to base salary and a competitive benefits package, successful candidates are eligible to receive a discretionary bonus._
